Terms & Conditions

Important

These Terms and Conditions shall apply to all consulting or other services provided by Point Road Group and/or Resume Strategists. Please read this carefully and in full.

Purpose

The Purpose of these Terms & Conditions is to set forth the terms and conditions under which Resume Strategists, Inc. d/b/a Point Road Group (hereinafter referred to as “PRG”) will provide consulting or other services to corporate and individual clients (herein referred to as “Client”).

Client hires PRG to provide services related to corporate and personal branding. PRG provides services directly to Client only and these Terms & Conditions shall become effective on the date Client expresses acceptance, as follows: (a) Acceptance includes electronically signing a Proposal (for corporate clients) and paying a deposit or paying for services in full (if required by service selection); or (b) Acceptance includes electronically signing a Client Agreement (for individual clients) and paying a deposit or paying for services in full (if required by service selection).

In consideration of the mutual promises herein contained, the parties agree to the following terms and conditions. No other terms or conditions shall apply unless agreed to in writing by PRG and Client.

Fees & Payment

Service fees and the fee payment structure and schedule are outlined in the Proposal or Client Agreement submitted to Client. Signed acceptance of the Proposal or Client Agreement by Client indicates full acceptance of the specified service fees and the fee payment structure and schedule.

All fees are quoted in US Dollars (USD) and payments to PRG shall be made in USD regardless of country in which Client resides, operates or does business.

PRG accepts payment via ACH transfer (corporate clients only), Zelle digital payments network and Square credit card invoice. If indicated on Proposal or Client Agreement, PRG passes on payment of any vendor processing fees to Client. Client is also responsible for any processing fees assessed by their financial institution. Client will review options outlined in the Proposal or Client Agreement and select one method of payment for invoicing.

  • ACH Transfer: PRG will provide account/routing information on Client invoice and complete any vendor authorization forms required by the Client to receive ACH credit payment originated by Client.  
  • Zelle:  PRG will email invoice to Client to initiate Zelle payments through Client’s financial institution or Zelle app. Invoice will specify deposit and balance payment due dates. Financial institution participation and daily transfer limits may vary. US accounts only. See eligibility at https://www.zellepay.com/get-started.
  • Square (credit card): PRG will email invoice to Client to initiate credit card payment through Square.

If Client requests additional services from PRG beyond what is included in the original signed Proposal or Client Agreement, PRG will provide a price quote and a Proposal Addendum or a second Client Agreement. Following signed acceptance, Client will be required to pay additional fees to proceed with additional services.

If priority services are requested, additional fees will be applied and included in the Proposal or Client Agreement. Priority services must be requested prior to signing the Proposal.

If Client fails to make payment (partial or full) by its due date, PRG reserves the right to postpone or suspend services until receipt of payment.

Unless otherwise indicated, execution of the Proposal or Client Agreement and payment of a deposit (if required) are due within 48 hours of receipt to secure the proposed date/time to commence services (defined as an initial video meeting, call or email exchange, depending on the service). If not received by the deadline, PRG reserves the right to release the proposed date/time and reschedule commencement of services to the next available date/time. The remaining fee balance is due in full upon commencement of services. 

Refunds & Cancellations

Fees paid to PRG by Client are non-refundable.

  • Corporate Clients: Cancellation provisions in advance or after commencement of services are included in the Proposal and a signed Proposal by Client indicates acceptance of all terms.
  • Individual Clients: If Client cancels the initial scheduled meeting once the deposit is paid and the Client Agreement is signed, the deposit will not be refunded.

Services

Expectations

The work performed by PRG for Client is limited to the description of work on the Proposal or Client Agreement.

PRG offers the experience and ability to perform the services based on Client’s needs and will be performed in a professional manner.

If material creation (including, but not limited to individual LinkedIn® profile, LinkedIn® company page description, resume, bio) are part of the services to be provided by PRG, they will be created based on information provided during Client meetings as well as information provided on other documents submitted by Client.

Client agrees to make reasonable efforts to be available by email (and phone or video meeting as needed) to respond to questions by PRG to clarify information, provide feedback or any additional information. Failure of Client to provide availability could result in delayed delivery of PRG services. Client shall be clear and specific when responding to all emails, phone calls or any other communication, to facilitate prompt completion of services.

PRG is not responsible for a missed deadline by Client if Client has been late in supplying information, feedback or approval of work during at any stage of the process.

PRG operating hours are Monday to Friday 9 AM to 5 PM EST. PRG is not available to Clients during evenings, weekends or holidays.

Turnaround Time

Turnaround time for services vary, depending on what is outlined in the Proposal or Client Agreement. Priority (rush) services are also available for an additional fee and must be requested by Client prior to signing the Proposal.

If resume or bio creation is part of the services being provided to Client, a first draft will be sent to Client via email within five (5) business days (excluding holidays and weekends) after the day of the initial meeting. PRG will make every effort to deliver the draft sooner whenever possible.

Expiration & Reactivation

Proposals and Client Agreements represent work-for-hire agreements and shall expire automatically on completion of contracted services.

PRG schedules a limited number of Clients within any given timeframe in order to provide superior service and quality excellence to Client throughout the engagement. Accordingly, to protect interests of PRG, Client agrees to accept and be bound by the following expiration and reactivation policies, which Client agrees are fair and reasonable:

If PRG is creating a resume or bio for Client and Client fails to provide edits to the emailed first or any subsequent draft of the document after fifteen (15) business days, but no more than three (3) calendar months, that version of the resume or bio will be considered the final version by both parties. No edits will be made after that time without incurring a $425 reactivation fee, unless Client provides prior written notice upon immediate receipt of the most recent draft that they will not be able to meet the deadline.

If Client does not respond to emails or voicemail from PRG after three (3) calendar months, the Client Agreement will expire due to inactivity. No remaining services (including material creation) will be completed without incurring a reactivation fee of $875, unless Client provides prior written notice requesting postponement of services.

For any reactivation fee assessed, PRG will email invoice to Client to initiate payment using the payment method originally selected on the Client Agreement. The reactivation fee must be received by PRG prior to reactivation of services.

The date for reactivation of services will be subject to PRG availability and may not be immediate.

Revisions

If resume or bio creation is part of the services provided to Client, Client is entitled to unlimited revisions prior to authorization to finalize document.

If creation of a LinkedIn® profile is part of the services provided to Client, documents are provided as final versions. Minor changes can be discussed and made during Client’s follow-up meeting or next coaching session. 

Final Proofreading, Accuracy & Approval

Client is responsible for fact-checking all information in documents created or reviewed by PRG, with special focus, but not limited to, job titles, company names, office locations, dates in positions, degrees and certifications, graduation years and client/customer names.

Client represents and affirms that all information provided to PRG is true and correct and does not omit any material information, and Client is responsible for completeness of any documentation. PRG is not liable to Client or any other party for any injury or damage caused by omissions, false statements or other inaccuracies.

Final proofreading of any materials created or reviewed by PRG is the responsibility of Client.

Final approval of a resume or bio must be authorized by Client and provided in writing via email. If the services purchased by Client also include creation of a LinkedIn® profile, this document will not be created until the resume or bio is approved and finalized. If Client is receiving multiple materials (e.g., resume, bio and LinkedIn profile content), they will be created sequentially, not simultaneously.

Updates

If Client would like to update materials previously written or reviewed by PRG (e.g., resume, LinkedIn® profile, bio), Client will contact PRG to discuss the update. An additional fee will be required to update materials and the amount will depend on the nature of the update, amount of time that has elapsed since the client last worked with PRG and the materials Client would like to update. A fee quote will be provided to Client and a new Proposal or Client Agreement will be sent for electronic signature. 

Electronic Files

PRG provides all materials to Client via email in Microsoft Word document only. PDF format may be provided when requested. Client is responsible for ensuring proper formatting of their documents on their own devices (e.g., Client may be using an older version of Word on an older operating system thus it is Client’s responsibility to ensure proper display). PRG will not provide technical support on document formatting.

Client Privacy & Information Security

PRG is strongly committed to protecting Client privacy and security of personal information.

All personal information provided to PRG is strictly for the use of PRG in connection with providing services to Client and will not be shared with any third party, except to the extent necessary to carry out Client services: processing payment (Square); executing agreements and proposals (Adobe Sign); scheduling meetings (Calendly and Zoom); managing client records and communications (Zoho CRM and Mailchimp). Our third-party service providers all adhere to industry standards in electronic data security, including PCI DSS compliance. Please refer to the respective company websites for further information:

Clients who initiate payment through Zelle, a Zelle network financial institution or other bank should refer to their respective security and privacy policies.

PRG does not collect or share credit card or bank information, nor do we share or sell Client consumer data, to third parties in any circumstance.

Liability

PRG is not liable for any inaccurate, incorrect or misleading information provided by Client in the materials it creates or reviews. PRG will not confirm or attempt to verify any information provided by Client and will not be responsible for the accuracy or truthfulness of the information provided by Client. PRG is not responsible for consequential damages of any kind that Client may incur from PRG services.

PRG does not directly provide recruiting or business development services. At no time during the working relationship or afterwards, does PRG promise new clients, employment, board seats or specific outcomes.

Indemnification

Client agrees to indemnify and hold PRG, its affiliates, officers and employees, harmless from and against any and all claims or demands, including reasonable attorneys’ fees and costs, loss of income, earnings, compensatory claims, punitive damages, loss of consortium, loss of a position or any and all damages resulting from a denial of a position or denial of an interview for a position made by any third party due to or arising out of use of PRG services.

Each party shall indemnify and hold the other harmless for any losses, claims, damages, awards, penalties, or injuries incurred by any third party, including reasonable attorney's fees, which arise from any alleged breach of such indemnifying party's representations and warranties made under this Agreement, provided that the indemnifying party is promptly notified of any such claims. The indemnifying party shall have the sole right to defend such claims at its own expense. The other party shall provide, at the indemnifying party's expense, such assistance in investigating and defending such claims as the indemnifying party may reasonably request. This indemnity shall survive the termination of this Agreement.

Disclaimer Regarding Accuracy Of PRG & Its Services

PRG makes no representations or warranties as to the accuracy or reliability of any information about the company, its services, clients, affiliates, officers, employees or any other information not directly written by PRG or supplied by third parties, other companies or collected from publicly available sources.

PRG makes no warranties or representations whatsoever regarding any product provided or offered by any Vendor, and you acknowledge that any reliance on representations and warranties provided by any Vendor shall be at your own risk.

Governing Jurisdiction Of The Courts Of NY

PRG is a New York corporation with headquarters in the State of New York. As such, PRG is subject to the laws of the State of New York, and such laws will govern all Client Agreements, Client Agreement Extensions and corporate proposals, without giving effect to any choice of law rules. Accordingly, Clients who work with PRG are subject to the laws of the State of New York. Clients consent to the exclusive jurisdiction of federal and state courts within the State of New York and irrevocably consents to the venue in any action brought against them in connection with any breach of their Client Agreement. Client consents to electronic service of process, if available, regarding actions under this agreement.

Disclaimer Of Warranties & Limitation Of Liability

In no event will PRG or its agents be held liable for any damages of any kind, including without limitation compensatory, direct, indirect, or consequential damages, loss of income or data, loss of or damage to property, and claims of Clients or third parties arising from any Client's rejection from any educational program, employment offer, or other opportunity of any kind. Clients submit any materials at their own risk. Further, Client agrees to hold PRG harmless from any academic, administrative, criminal or civil proceedings.

Policies, Modification & Severability

PRG reserves the right to make changes to our policies, and these Terms & Conditions at any time.

If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining conditions.
